This Photography Release grants Waterworks Operating Co., LLC the perpetual right to use, publish, and distribute the imagery across all Waterworks digital communications (including email, website, and social media platforms) in connection with its business, including Instagram shopping features and other consumer-related activities, in exchange for promotional exposure. This information will be used solely for business purposes and will not be shared with third-parties. This agreement may be terminated with ninety (90) days written notice, provided the notification is submitted in writing and accepted by Waterworks. Upon termination, Waterworks will make commercially reasonable efforts to remove the imagery from applicable platforms and locations where it is featured. The Parties are independent contractors under this Agreement, and nothing herein shall be construed to create a partnership, joint venture, franchise or agency relationship between them. Neither party has any authority to enter into agreements or make representations or warranties of any kind on behalf of the other party.
